Terms of Service

Last updated: [EFFECTIVE DATE]

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you and [COMPANY LEGAL NAME] ("CommuniQueue", "we", "us"). By creating an account or using the platform, you agree to these Terms. If you use the service on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Service

CommuniQueue provides a templated messaging platform for sending email and webhook notifications, including template management, delivery tracking, and related APIs. We may add, change, or remove features over time.

3. Accounts & Eligibility

You must provide accurate account information and keep your credentials and API keys secure. You are responsible for all activity under your account. You must be able to form a binding contract to use the service.

4. Acceptable Use & Anti-Spam

You may only send messages to recipients who have consented to receive them, and you must comply with all applicable laws, including anti-spam laws (for example, CAN-SPAM, CASL, and GDPR/e-Privacy where applicable). You must not send unlawful, deceptive, or harmful content, and you must honor unsubscribe requests. We may suspend accounts that generate excessive bounces, spam complaints, or abuse.

5. Customer Content

You retain ownership of the templates, recipient data, and message content you provide ("Customer Content"). You grant us the limited rights needed to operate the service and deliver your messages. You are solely responsible for your Customer Content and for having a lawful basis to process recipient data.

6. Subscriptions, Billing & Overage

Paid plans are billed on a recurring basis and include the workspace allowance shown for the selected plan through our payment processor. Usage above your plan's included limits may incur overage charges at the rates shown for your plan. Fees are non-refundable except where required by law or expressly stated. You authorize recurring charges until you cancel.

7. Cancellation & Termination

You may cancel at any time; access continues through the end of the paid period. We may suspend or terminate accounts that violate these Terms. Provisions that by their nature should survive termination will survive.

8. Disclaimers & Limitation of Liability

The service is provided "as is" without warranties of any kind to the maximum extent permitted by law. To the maximum extent permitted by law, our aggregate liability is limited as set out here: [LIABILITY CAP - e.g. fees paid in the prior 12 months]. We are not liable for indirect, incidental, or consequential damages.

9. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and, where required, provide notice. Continued use after changes take effect constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of [GOVERNING LAW / JURISDICTION], without regard to conflict-of-laws rules.
